Risk Disclosure

Last updated 1 October 2026

This Risk Disclosure describes material risks associated with Keeper Exchange, its informational tools, digital-asset features and rewards. It is not exhaustive and should be read together with the Terms of Use and any product-specific terms. Digital assets and blockchain transactions are high risk. You may lose some or all of the value involved.

1. Market and digital-asset risk

Digital-asset and other market prices can be highly volatile and may change rapidly. Liquidity can fall or disappear, spreads can widen, and prices can differ between venues. You may be unable to buy, sell, transfer or access an asset when you want. Past performance, estimates and historical data do not predict future results. Do not commit money or assets you cannot afford to lose.

2. Information, alerts and simulated displays

Keeper’s public site may show illustrative, simulated or delayed terminal displays, prices, charts, news, alert timings, impact scores or market reactions. Such information may be incomplete, inaccurate or unavailable. A signal or alert is not an instruction to trade, a price quote, an execution confirmation or a guarantee of an outcome. Verify information independently before acting.

The Market News Wire example of an FDA-related positive alert delivered to a Keeper desk in 74 ms, followed by an illustrative market move later that day, is not a prediction or guarantee. Keeper may identify and deliver news; it does not cause, control or guarantee the timing or magnitude of a market move.

3. Wallets, blockchains and transactions

Wallet software, blockchain networks and other third-party technology may be unavailable, congested, delayed, compromised or affected by software defects, attacks, protocol changes or network forks. Transactions sent to a wrong address or confirmed on-chain may be irreversible. Public blockchain transactions may be visible to others and cannot generally be altered or deleted by Keeper. Network fees and transaction processing are outside Keeper’s control.

Protect your wallet, private keys and recovery phrase. Never disclose a seed phrase or private key to anyone claiming to represent Keeper. Check the receiving address, asset and transaction details before signing. A wallet connection or transaction may expose your public wallet address and related on-chain activity.

4. Airdrop and reward risks

The Season 1 Airdrop pool is 50,000 TRX and is reserved exclusively for new users of the Keeper Mini App, subject to eligibility and the applicable program rules. Further pools will be announced once this pool is exhausted. The estimated Airdrop distribution is between USD 200,000 and USD 1,000,000, depending on the number of users. These are estimates, not guaranteed pool values, individual allocations or payments. Actual eligibility, distribution and timing depend on the published rules; no minimum reward is guaranteed.

Distributions in previous campaigns were suspended after abusive and malicious activity was identified. A user who did not participate in that activity and meets the applicable eligibility requirements will have their eligible distribution credited to the Keeper Exchange account linked to their Telegram UID. Keeper may review activity and verify eligibility before crediting a distribution.

TRX and any other digital asset can rise or fall in value, and a stated USD estimate does not fix the value of a token allocation. Airdrops may be delayed, changed, restricted or unavailable because of eligibility requirements, technical issues, market conditions or legal restrictions. Do not treat a possible reward as income or as a basis for a financial decision.

KEEP Points shown as pending rewards are points, not cash or a token. They currently have no cash or token value, and no claim, conversion, transfer or redemption rules have been established. Do not assume they will become transferable, redeemable or valuable.

5. Reward-feature payments

If a reward feature asks you to make an on-chain payment, review the amount, asset, network and recipient address shown in the active interface before signing. On-chain payments may be irreversible, and exchange-rate changes, network congestion or technical failure may affect the transaction. Do not send funds based on an unofficial message, a third-party link or an unverified address.

6. No individualized advice or guaranteed returns

Keeper’s content, news, scores, alerts and reward information are for general informational purposes only. They are not investment, financial, trading, legal or tax advice, and are not an offer or recommendation to buy, sell or hold any asset. Keeper does not promise profits, a particular market result, reward allocation, token value or return. Consider your objectives, experience and ability to bear loss, and seek independent professional advice where appropriate.

7. Regulatory, tax and availability risks

Digital-asset rules and tax treatment differ between locations and may change. A product or asset may be restricted or unavailable where you live. You are responsible for understanding and complying with applicable laws, restrictions and tax obligations. Keeper does not provide individual legal or tax advice.

8. Third-party services

Keeper may rely on external wallet providers, infrastructure, market-data sources, messaging platforms and blockchain networks. Their availability, security, data and services are outside Keeper’s direct control and may be subject to separate terms and risks. A failure or change in a third-party service may affect access to Keeper features or information.
